1. Acceptance of Terms
By accessing or using the RenderStack platform, website, APIs, and related services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree with these Terms, you must not use the Service.
2. Description of Service
RenderStack provides an API-first image and PDF generation platform that allows users to design visual templates, define dynamic fields, and render personalized image and PDF assets via REST API or embeddable dynamic URLs. The Service includes template design tools, asset management, API access, organization and team management, and related functionality.
3. Account Registration
To use the Service, you must create an account through our supported authentication provider. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Organizations and Teams
The Service operates on an organization-based model. Each user may belong to one or more organizations. Organization owners and administrators manage membership, roles, and permissions. You are responsible for the actions of all members within your organization when using the Service.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Generate, store, or distribute illegal, harmful, defamatory, or infringing content
- Attempt to gain unauthorized access to the Service, other accounts, or underlying systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service for any purpose that is fraudulent, deceptive, or misleading
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Exceed usage limits or circumvent rate limiting, access controls, or billing mechanisms
- Resell, sublicense, or redistribute access to the Service without our written consent
6. Intellectual Property
6.1 Your Content
You retain all ownership rights to the templates, images, fonts, and other content you upload or create through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service.
6.2 Our Property
The Service, including its software, design, features, documentation, and branding, is owned by RenderStack and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand elements without our prior written consent.
7. Subscription Plans and Billing
The Service offers various subscription plans with different feature sets, usage limits, and pricing. By subscribing to a paid plan, you agree to pay the applicable fees as described on the pricing page at the time of purchase. Fees are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe.
Usage exceeding your plan limits may incur overage charges as specified in your plan details. We will notify you when approaching or exceeding limits when possible.
You may upgrade, downgrade, or cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods unless required by applicable law.
8. Free Trials
We may offer free trial periods for certain plans. During the trial, you may access the Service with limited features or usage allowances. At the end of the trial period, your account may be downgraded or suspended unless you subscribe to a paid plan. We reserve the right to modify or discontinue trial offers at any time.
9. API Usage
Access to the API is subject to your subscription plan's usage limits, including render counts, storage limits, and rate limits. API keys are confidential and must not be shared publicly. You are responsible for securing your API keys and for all activity performed using them. We reserve the right to revoke API keys or suspend access in cases of abuse, excessive usage, or violation of these Terms.
9.1 AI-Powered Features and Usage Limits
The Service includes AI-powered features, such as Smart Cover (AI-based focal point detection for intelligent image cropping), that utilize third-party machine learning models to analyze and process your content. By using these features, you acknowledge and agree to the following:
Detection Limits
AI-powered features are subject to monthly usage limits determined by your subscription plan. Each plan specifies a maximum number of AI detections (such as Smart Cover focal point analyses) permitted per billing cycle. Once your monthly limit is reached, AI-powered features may become unavailable or may incur overage charges depending on your plan tier. Detection results are cached to minimize redundant usage; cached results do not count against your monthly limit.
Overage Behavior
Plans that include overage billing will be charged a per-detection fee for usage exceeding the included monthly allowance, at the rate specified in your plan details. Plans configured with a hard stop will cease AI-powered processing once the monthly limit is reached, falling back to standard (non-AI) behavior. You are responsible for monitoring your usage through the dashboard and managing your consumption within your plan's allowances.
Fair Use
AI-powered features are provided for legitimate image processing purposes within the scope of the Service. You agree not to abuse, exploit, or deliberately circumvent AI feature limits, including but not limited to: submitting the same image repeatedly to exhaust detection quotas, using automated scripts to generate excessive AI requests, or attempting to reverse-engineer or extract the underlying AI models. We reserve the right to throttle, suspend, or revoke access to AI-powered features if we detect patterns of abuse or usage inconsistent with fair and reasonable use.
Accuracy and Limitations
AI-powered features rely on third-party machine learning models and are provided on an "as is" basis. We do not guarantee the accuracy, reliability, or suitability of AI-generated results for any particular purpose. Detection results may vary based on image content, quality, and complexity. When AI detection fails or produces low-confidence results, the Service will automatically fall back to standard processing behavior. You should not rely solely on AI-powered features for critical or safety-sensitive applications.
10. Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any downtime, interruptions, or changes to the Service.
11. Limitation of Liability
To the maximum extent permitted by law, RenderStack and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amounts paid by you to us during the twelve (12) months preceding the claim.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be error-free, or be available without interruption.
13. Indemnification
You agree to indemnify, defend, and hold harmless RenderStack and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
14. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect, including sections on intellectual property, limitation of liability, indemnification, and governing law.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which RenderStack operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
16. Changes to These Terms
We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the revised Terms on this page and updating the "Effective Date." Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
